These Terms of Service ("Terms") govern your use of the IntradayNinja platform, accessible at intradayninja.trade ("Platform", "Service"), operated by IntradayNinja ("we", "us", "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Platform Description

IntradayNinja is a trading automation infrastructure platform designed for Indian retail traders. The Platform enables users to automate trade execution across supported stock brokers by connecting external signal sources to broker APIs. IntradayNinja is not a stockbroker, sub-broker, investment advisor, research analyst, or portfolio manager. We provide software tooling only — all trading decisions are made solely by the user.

2. Eligibility

You must be at least 18 years of age and a resident of India to use the Platform. You must hold valid trading accounts with one or more supported brokers and comply with all applicable laws, including Securities and Exchange Board of India (SEBI) regulations and exchange-specific rules.

3. Supported Brokers

The Platform currently supports integration with the following brokers:

• Zerodha (via Kite Connect API)
• Dhan (via DhanHQ API)
• Angel One (via SmartAPI)
• Upstox (via Upstox API v2)

Broker availability may change without prior notice. We are not affiliated with, endorsed by, or partnered with any of these brokers.

4. Platform Features

The Service includes the following capabilities:

• TradingView Webhook Execution — receive alerts from TradingView strategies and indicators and execute corresponding orders via connected broker accounts.
• Telegram Signal Automation — parse trading signals from configured Telegram channels and execute trades automatically.
• Trade Copier — replicate trades from a lead account to one or more follower accounts across supported brokers.
• Paper Trading — simulate trade execution without placing real orders, for strategy testing and validation purposes.
• Portfolio Analytics — track and analyse trade performance, P&L, and execution metrics across broker accounts.

5. Subscription Plans & Billing

Access to the Platform is available through the following plans:

All prices are inclusive of applicable Goods and Services Tax (GST). Payments are processed securely via Cashfree Payments. You authorise us to charge your selected payment method on each renewal date.

6. Refund Policy

Subscription fees are non-refundable once a billing cycle has commenced. If you cancel your subscription, you will retain access to the Platform until the end of the current billing period. No partial refunds are issued for unused portions of a billing cycle. In exceptional circumstances (e.g., prolonged service outage attributable to us), refunds may be considered at our sole discretion.

7. User Responsibilities

As a user of the Platform, you agree to:

• Provide valid and up-to-date broker API credentials and maintain their confidentiality.
• Maintain adequate margins and funds in your broker accounts to support the orders placed via the Platform.
• Comply with all applicable SEBI regulations, exchange rules (NSE, BSE, MCX), and Indian laws pertaining to securities trading.
• Monitor your automated trades and intervene manually when necessary. Automation does not absolve you of responsibility for orders placed through your accounts.
• Not use the Platform for any unlawful purpose, including but not limited to market manipulation, insider trading, or front-running.
• Keep your IntradayNinja account credentials secure and notify us immediately of any unauthorised access.

8. SEBI & Regulatory Disclaimers

9. Limitation of Liability

To the maximum extent permitted by applicable law, IntradayNinja shall not be liable for:

• Broker API failures — including downtime, rate limiting, authentication errors, or changes to third-party APIs beyond our control.
• Market slippage — differences between expected and actual execution prices due to market conditions.
• Execution delays — arising from network latency, webhook processing time, broker queue congestion, or system load.
• Financial losses — incurred as a result of trades executed (or not executed) through the Platform.
• Third-party service outages — including but not limited to TradingView, Telegram, broker platforms, or payment processors.
• Token expiry or invalidation — where broker API sessions expire and require manual re-authentication by the user.

In no event shall our aggregate liability exceed the subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

10. Intellectual Property

All content, code, design, logos, and trademarks on the Platform are the intellectual property of IntradayNinja. You may not reproduce, distribute, reverse-engineer, or create derivative works from any part of the Service without our prior written consent.

11. Account Suspension & Termination

We reserve the right to suspend or terminate your account if:

• You breach these Terms or any applicable law.
• Your use of the Platform poses a security risk or adversely affects other users.
• We are required to do so by law, regulation, or court order.
• You engage in abusive behaviour towards our support team or other users.

You may delete your account at any time from your account settings. Upon termination, your broker credentials are permanently deleted from our systems.

12. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 15 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
